在合同中，据我所见，inure主要用于两种情形：一是知识产权条款，一是转让条款。

从一本书里摘录的条款：

Each party acknowledges the other party’s rights in such other party’s Intellectual Property Rights and agrees that any and all use by it of such Intellectual Property Rights shall inure to the sole benefit of the other party.

群内小伙伴的例子：

All use of the other party's trademark shall inure to the benefit of the trademark owner party.

The terms and conditions of this Agreement shall inure to the benefit of and be binding upon the respective successors and assigns of the parties.

含义分析与翻译处理

Inure本身含义比较笼统，在具体情形下，可以有特定的含义，比如：

When a will makes the provision that all Personal Property is to inure to the benefit of a certain individual, such an individual is given the right to receive all the personal property owned by the testator upon his or her death.

这个例子跟上边那个通行权的比较像，也说明老外在一定的上下文中，用inure这个笼统的词来表示具体的意思。

那问题来了，上边群里小伙伴给出的知识产权条款的例子，到底是什么意思？

一种观点是说，使用商标的收益归商标所有人。这种观点确实把inure的含义特定化了，比较清楚确定。

但这个意思是否全面？比如，商标使用要inure to the benefit of商标所有人，是否包含如下意思：

商标的使用，比如使用方式，要符合商标所有人的利益。

这个就得问IP同行了，看实践中如何处理。当然，合同上下文也很重要。

相对而言，合同转让条款中的inure比较好理解。大概是申明合同对谁有效，第三方包不包括在内？哪些第三方可包括在内？

以前“每日一句”提到一个句子，也是合同转让条款，与此类似 ，但没用inure，而是直接benefit and bind upon。当时我给出的参考译法是：“对...有效”。微博上有同学提出质疑。

“有效”不仅是有约束力，也包括合同利益的享受。可以涵盖benefit和bind upon。

因此，我觉得直接翻译成“有效”更符合条款的旨意，让人一看就明白，是讲合同效力范围。

转让条款中inure的翻译可以模糊处理，不涉及具体意思的追究，所以不必像知识产权条款那样纠结。

知识产权条款中的inure则不太好处理。如果通过上下文明白当时具体所指，比如上述通行权、遗嘱 的情形，则可以意译。否则，还是模糊处理吧。
