在翻译法律合同文件时，我相信很多专业英语翻译公司的译员都会遇到affiliated company和associated company这两个词。那么，我也相信很多译员都会不假思索或者说习惯性的将其分别翻译为“附属公司”以及“关联公司”。那么，这两个词到底有什么区别呢？相信很多译者在被问到这个问题时，也只是感到一知半解。

首先，我们看一下《元照英美法词典》对于affiliated company的解释：

affiliatedcompany／corporation<</span>美>关联公司；附属公司；联营公司由同一个人控制的两个或两个以上的公司，但并没有完全控制这些公司的股份；或者，仅仅是两个或两个以上的公司因商业目的而组成的联合，但其联合程度不足以构成《所得税法》［Income Tax Law］意义下的公司。

那么，associated company具体是什么含义呢？原博文作者在柯林斯法律词典第二版中找到了相关的解释：

associated company a company is associated with another if both companies are controlled by the same (or substantially the same) individuals. In common parlance the term ‘associated company’ is used to denote a subsidiary or other company that is part of the same group of companies.

大概的意思就是，如果两个公司被同一人（或实质同一人）控制，那么一个公司就与另一个公司相关联。通俗点说就是，“关联公司”用于指子公司或同一集团公司中的其他公司。

但是，这个定义过于通俗而又宽泛，有助于我们理解，但不足以解除我们的困惑。要知，法律术语的边界通常是非常清楚的，否则，只能交由法官大人厘定。那么，看到这里，诸位能清楚affiliated company 和associated company之间的区别了么？我想，答案应该是否定的。

那么，我们再来看看Vanessa Stott 所著的Hong Kong Company Law（p160）中的一段话 “the company is not its subsidiary but its shareholding exceeds 20 percent of the nominal value of the issued shares of any class (such companies often being described as associated companies)”也就是，被持股超过20%但又不是子公司的公司。在香港法语境下，子公司（subsidiary）是指被持股超过50%的公司，当然，判定一个公司是否为子公司，股权比例只是一个考量因素，更多的应是实际控制力。为便于后面的区分，我们姑且认为associated company是被持股在20%－50%之间的公司。

同时了解到，2005年12月1日修订的《公司条例》将术语“subsidiary”和“holding company”与国际会计准则保持了一致。于是翻阅相关的国际会计准则资料，发现股权投资的会计处理因持股比例不同采用不同的会计处理方法：低于20%，采用成本法；20%－50%之间，采用权益法；超过50%，合并财务报表。

在Jerry J. Weygandt等人合著的Financial Accounting (5^thEdition)第594页有一段话：

“A company that owns more than 50% of the common stock of another entity is known as the parent company.  The entity whose stock is owned by the parent company is called the subsidiary (affiliated)company”.

写到这里，一切真相大白。affiliated company通常指被持股50%以上的公司，associated company是被持股在20%－50%之间的公司。
