【译文规范】关于RIGHT, TITLE, INTEREST在法律合同或协议中的翻译规范

经常接触法律协议或合同的人会经常注意到这样的一句话：

Party X retains all right, title and interest in and to XXX …

从上面的句子来看，这里的right, title, interest显然是指不同的权利，那么这三个词用在法律合同中，到底分别表示怎样的含义，又应该如何去恰当的表达呢？我们先从每个词的具体含义说起（以下英英解释摘自牛津、韦氏等权威英英词典）：

“Right”: A moral or legal entitlement to have or obtain something or to act in a certain way用中文来理解就是，在道德或法律上对某个东西或采取某种行动拥有权力；“Title”: A right or claim to the ownership of property or to a rank or throne用中文来理解就是，对拥有、使用或处置某物拥有权力或对某个职位或等级拥有权力；“Interest”: a legal right to participation in the advantages, profits, and responsibility of something用中文来理解就是，参与并分享益处、红利以及同时承担责任的合法权利；

根据上面的三个英文解释，同时结合中文的法律惯用表达，我们将上句话译为：某方保有对其XXX之所有权利、所有权和权益……

下面我们来看看这三项权利在相关法律规定中的解释：在物权法中，所有权是所有人依法对自己财产所享有的占有，使用，收益和处置的权利。它是一种财产权,所以又称财产所有权。所有权是物权中最重要也最完全的一种权利，具有绝对性、排他性、永续性三个特征，具体内容包括占有、使用、收益、处置等四项权利。权益则在法律上有两个含义：第一种含义就是通常所指的公民受法律保护的权利和利益。第二种会计学上指资产。属于所有人的叫做所有者权益，属于债权人的权益叫做债权人权益。两者总成为权益。权利，是指法律赋予人实现其利益的一种力量。与义务相对应，法学的基本范畴之一，人权概念的核心词，法律规范的关键词。

原文：Party A and Party B have entered into a partnership in which Party A has acquired the exclusive dealership of Party B’s products.
译文：甲方和乙方已经开始创建合作关系，合作后甲方将获得乙方产品的独家经销权。
评析：在中文表达中，我们很少说“创建关系”，一般都是“建立关系”。

原文：The partnership will be launched in the Party A’s show room in Shanghai on 19 April.
译文：合作仪式将于5月19日在上海的阿旺特展示厅举行。
评析：典型的粗心大意，原文很清楚的写着on 19 April，但遗憾的是，译者还是把日期翻错了。

原文：The contracts will be signed in the presence of the Chinese Party B’s dealers and several prominent guests.
译文：签署合同时，各中国乙方经销商和几位重要客人将会到场。
评析：从译文看，译者似乎已经理解了原文的意思，但是表达却没有脱离原句的结构，因此读起来十分奇怪和拗口。这里面有两个关键点，一个will be signed，另一个是in the presence of，也就是说，原句想要表达的意思合同将在某些到场嘉宾的见证下签署。如果按照正常的中文表达，这句话不妨可以译为：
“乙方中国区经销商和数位贵宾将亲自前往签约现场见证合同的签署。”

原文：As part of the launch, the 80th birthday of Party A’s designer Yrjo will be celebrated at the Tongji University in Shanghai on 20 April.
译文：作为合作启动仪式的其中一项内容，将于4月20日在上海同济大学举行甲方设计师Yrjo的80岁生日庆典。
评析：从译文来看，译者似乎理解了原文想要表达的意思，但是译成中文后，却出现前半句和后半句缺乏逻辑衔接的问题，让读者摸不着头脑。
建议译文：甲方设计大师Yrjo的80岁生日庆典，作为合作启动仪式的一部分，将于4月20日在上海的同济大学举办。

A better life at work让工作更美好
Paliperidone extended release (ER) is an atypical antipsychotic that is administered orally once daily to provide consistent plasma drug concentrations over 24 hours in adult patients with schizophrenia. In four well controlled trials, once-daily administration of paliperidone ER 3-12 mg over 6 weeks was more effective than placebo in reducing the positive and negative symptoms experienced by adult patients with schizophrenia, including elderly individuals aged above or =65 years.

第一条 本协会由于终止、自行解散或分立、合并等原因需要注销的，应由理事会提出终止动议，经会员大会表决通过后报业务主管单位审查。经业务主管单位审查同意后向登记管理机关申请注销登记。

Article II Prior to the termination, the Association, shall, under the guidance of registration administration authority under the authority administrating the business of the Association, establish the liquidation group, liquidate the claims and debts and deal with the subsequent matters. During the liquidation, the Association shall not carry out the activities other than liquidation.
